Terms of Service

1. Agreement to Terms

By accessing or using the Sport Fitness & Coaching platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

The Platform is operated by FITNESS RETAIL GRP LLC, 2020 N Academy Blvd, Ste 261 #4696, Colorado Springs, Colorado 80909, United States (EIN: 98-1934535).

2. Description of Service

Sport Fitness & Coaching is a marketplace platform that connects fitness professionals, coaches, and product sellers ("Sellers") with customers seeking fitness products, coaching services, and digital programs ("Customers"). We act as an intermediary and are not a party to any transaction between Sellers and Customers.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Seller Terms

4.1 Eligibility

To register as a Seller, you must operate through a registered business entity (LLC, corporation, sole proprietorship, or international equivalent). Individual accounts without business registration are not eligible for seller status.

4.2 Platform Fees

Sellers agree to the following transaction fees:

• 5.9% of the gross transaction value for sales processed on Sport Fitness & Coaching hosted pages (subdomain)
• 6.9% of the gross transaction value for sales processed on custom domain hosted pages
• Additional payment processing fees may apply for non-USD transactions or for Sellers based outside the United States

There are no monthly or annual platform fees. Fees are deducted automatically from each transaction prior to payout.

4.3 Seller Responsibilities

Sellers are solely responsible for:

• Accurate description of their products and services
• Fulfillment of orders and delivery of services
• Compliance with all applicable laws, including consumer protection laws
• Proper licensing and certification for any professional services offered
• Tax collection and remittance in their applicable jurisdictions
• Handling refunds and disputes with customers

5. Customer Terms

As a Customer, you agree that:

• All purchases are final unless explicitly stated otherwise by the Seller
• You will not engage in fraudulent chargebacks or unauthorized payment disputes
• Coaching services and fitness advice provided by Sellers are not a substitute for medical advice
• You are responsible for consulting a physician before beginning any fitness program

6. Prohibited Activities

You may not use the Platform to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent content
• Infringe any intellectual property rights
• Sell counterfeit, dangerous, or illegal products
• Harass, abuse, or harm other users
• Scrape or collect data from the Platform without authorization
• Circumvent or disable any security features of the Platform

7. Intellectual Property

All content on the Platform, including the Sport Fitness & Coaching brand, design, and software, is owned by FITNESS RETAIL GRP LLC or licensed to us. Sellers retain ownership of their content but grant us a license to display and promote it on the Platform.

8. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. FITNESS RETAIL GRP LLC IS NOT LIABLE FOR:

• The quality, accuracy, or fitness for purpose of Seller products and services
• Injuries or health issues resulting from following fitness advice on the Platform
• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities

Our maximum liability to you for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of El Paso County, Colorado.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
